End User License Agreement (EULA)

Coventry Labs, LLC

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Coventry Labs, LLC ("Licensor") for the use of the application ("App"). By downloading, installing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the App.

1. License Grant

Licensor grants the User a non-transferable, non-exclusive license to use the App on any compatible device that the User owns or controls, in accordance with the terms of this Agreement.

2. Ownership

The User acknowledges that:

• All audio content, user interface (UI) elements, and the overall design of the App are the exclusive property of Coventry Labs, LLC.
• All rights, title, and interest in and to the App, including all associated intellectual property rights, are owned by Coventry Labs, LLC.

3. Restrictions

The User agrees not to:

• Reproduce, copy, modify, or create derivative works of the App or any part thereof, including audio content, UI elements, and design, in whole or in part.
• Distribute, transfer, sublicense, lease, lend, or rent the App to any third party.
• Reverse engineer, decompile, or disassemble the App, except to the extent that such activity is expressly permitted by applicable law.

4. Termination

This Agreement is effective until terminated. The User's rights under this Agreement will terminate automatically without notice from the Licensor if the User fails to comply with any term(s) of this Agreement. Upon termination, the User must cease all use of the App and destroy all copies, full or partial, of the App.

5. Intellectual Property Rights

The User acknowledges that:

• Coventry Labs, LLC retains all ownership rights in the App, including all associated intellectual property rights.
• The User does not acquire any ownership rights in the App as a result of downloading, installing, or using the App.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Coventry Labs, LLC shall not be liable for any damages arising out of or related to the use or inability to use the App, even if Coventry Labs, LLC has been advised of the possibility of such damages.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state in which Coventry Labs, LLC is headquartered, without regard to its conflict of laws principles.

8. Entire Agreement

This Agreement constitutes the entire agreement between the User and Coventry Labs, LLC regarding the use of the App and supersedes all prior or contemporaneous understandings regarding such subject matter.
